Dewan Faisal is the head of Legality. Mr. Faisal started his professional carrier with A.S & Associates, and worked as an independent professional for a period 12 years. During this period, he lead three departments of A.S & Associates namely Department of Corporate Advisory, Department of Corporate Finance and Department of Taxation. In his practice span he worked with local and multinational companies (i.e. Evonik International Holding B.V, Sarens N.V., Equitable Consulting Ltd., Rural Power Company Limited, RPCL- Norinco Int. Power Limited etc.) and law firm (Grandall Law Firm, Zhong Lun Law Firm, Beijing Kangda Law Firm, Norton Rose Fulbright, King & Wood Mallesons etc.), and actively worked in different cross border acquisition transaction.
As recognition of his experience, he has been ranked by Legal 500 as “Key Lawyer” of the Firm for Dispute Resolution in the year 2022. In furtherance of that he has also been granted full exemption by Bar Standard Board of England and Wales from the academic and vocational component of Bar Professional Training Course (BPTC), and been Called to the Bar by The Honourable Society of Lincoln’s Inn.
Mr. Faisal has assisted the Lead Counsel with structuring of an investment bank domiciled in Bangladesh, which involves acquisition of shares by an investment bank of Sri Lanka.
Mr. Faisal has assisted the Client through Grandall Law Firm, an international firm based in China, in acquisition of a project company that is responsible to build, own and operate a 60MW Wind Turbine Power Plant (WTPP) to be located in Coxes Bazar, Bangladesh
Mr. Faisal appear hearing before the Commissioner of Appeal, Income Tax Tribunal and High Court Division of the Supreme court of Bangladesh to represent his client namely Khazana Dhaka limited and Khazana Mithai Limited to reduce their tax liability.
Mr. Faisal has assisted a reputed power company domiciled in Bangladesh for forming a Joint Venture with an Indonesian company and assisted the joint venture with preparation of BID proposal for establishing 2 HFO based 115 MW power plants in Bangladesh
Mr. Faisal assisted the lead counsel with negotiating and finalizing all project agreements including EPC Contract, O&M Contract and Contract with a German Company for Equipment & Spare Parts for 52 MW HFO based power plant at Munshiganj.
Mr. Faisal is assisting Rural Power Company Limited to obtain, structure and execute legal documentations in order to obtain USD 55 million in the form of loan in order to implement 100 MW (+10 MW) HFO based power plant in Gazipur on BOO basis.
Mr. Faisal acted as legal counsel of the Lenders including Midland Bank Limited and NCC Bank Limited in a deal where EPV Thakurgaon Limited, owner of a HFO based power project, imported capital machinery for the project in the form of ECA financing.
Mr. Faisal worked for China Exim Bank Ltd in a foreign syndicated loan facility granted to Barisal Electric Power Company Limited, where China Exim Bank Ltd is a lender. The value of the total facility was USD 427 Million and utilized to develop a 350 MW coal based power project at Barisal, Bangladesh.
Mr. Faisal is acting as legal consultant of RPCL Norinco International Power Limited, who is responsible to build own and operate a coal based power project with a capacity of 1320 MW to be located in Borguna, Bangladesh.
Mr. Faisal was involved in structuring and preparation of legal documentations of issuance of BDT 2,000,000,000.00 Non-Convertible, Unsecured and Zero Coupon Bond for a term of 5 years of IPDC Limited for satisfaction of its Tire 2 capital requirement.
Mr. Faisal was also involved in the issuance of several types of Commercial Papers in an innovative form of short term debt instrument which is currently most popular by the issuers to meet their required working capital for business expansion and as well as to prepay/repay the high cost short term debt from different scheduled banks and financial institutions.
Work experience of Mr. Faisal includes offering legal advice to a Group of Company in acquisition of renowned sweet manufacturing company i.e. Khazana Methai Limited. As part of legal assistance, he conducted due diligence on secretarial compliance, taxation, value added tax and other regulatory compliance. Finally, he structured the acquisition deal, prepared legal documentations and assisting the parties in execution of the legal documentations for completion of the acquisition process.
